Terms of Service

1. Acceptance of Terms

By accessing and using the IslandVistaEdge platform and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

IslandVistaEdge provides AI-powered lead generation services through multiple advertising channels including but not limited to Google Ads, Facebook, LinkedIn, and other digital marketing platforms. Our services include:

  • Lead discovery and qualification
  • Multi-channel campaign management
  • AI-powered lead scoring and optimization
  • Performance analytics and reporting
  • CRM integration and data management

3. Pricing and Payment Terms

Our pricing is based on qualified leads delivered through different advertising channels:

  • Volume Channels: $40 per qualified lead
  • Standard Channels: $50 per qualified lead
  • Premium Channels: $60 per qualified lead

Payment terms are net 30 days from invoice date. All fees are non-refundable unless otherwise specified in writing. Pricing is subject to change with 30 days written notice.

4. Lead Quality Standards

A "qualified lead" is defined as a prospect who meets the following criteria:

  • Demonstrates genuine interest in your product or service
  • Meets your specified demographic and firmographic criteria
  • Has provided accurate contact information
  • Has budget authority or influence in the purchasing decision
  • Has a defined timeline for making a purchasing decision

5. Client Responsibilities

As a client of IslandVistaEdge, you agree to:

  • Provide accurate information about your target audience and business requirements
  • Respond to leads in a timely manner (within 24 hours recommended)
  • Maintain compliance with all applicable laws and regulations
  • Not use our services for illegal, fraudulent, or unethical purposes
  • Provide feedback on lead quality to help improve our services

6. Data Privacy and Security

We are committed to protecting your data and the data of your prospects. Our data handling practices include:

  • Encryption of all data in transit and at rest
  • Compliance with GDPR, CCPA, and other applicable privacy regulations
  • Regular security audits and penetration testing
  • Limited access to data on a need-to-know basis
  • Secure deletion of data upon contract termination

7. Intellectual Property

All intellectual property rights in the IslandVistaEdge platform, including but not limited to software, algorithms, designs, and content, remain the exclusive property of IslandVistaEdge. Clients are granted a limited, non-exclusive license to use our services during the term of their agreement.

8. Service Level Agreement

We strive to maintain high service standards:

  • 99.9% platform uptime (excluding scheduled maintenance)
  • 24/7 technical support for Premium tier clients
  • Response time of 4 hours for critical issues
  • Monthly performance reports for all clients

9. Limitation of Liability

IslandVistaEdge's liability is limited to the amount paid by the client in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages. We do not guarantee specific results or conversion rates, as these depend on factors outside our control.

10. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination:

  • All outstanding invoices become immediately due
  • Access to the platform will be revoked
  • Data will be securely deleted within 30 days
  • Confidentiality obligations continue indefinitely

11. Compliance and Legal Requirements

Clients must ensure their use of our services complies with:

  • CAN-SPAM Act and similar anti-spam regulations
  • TCPA (Telephone Consumer Protection Act) requirements
  • Industry-specific regulations (HIPAA, FINRA, etc.)
  • Platform-specific advertising policies
  • Local and international privacy laws

12. Dispute Resolution

Any disputes arising from this agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Texas, United States.

13. Force Majeure

Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

14. Modifications

IslandVistaEdge reserves the right to modify these terms at any time. Clients will be notified of material changes via email at least 30 days in advance. Continued use of our services after such modifications constitutes acceptance of the new terms.
